SOLAR^sec INFORMATION SERVICE TERMS OF USE AGREEMENT

Grant of License

By using or viewing the Service or its content, you acknowledge that you and such use are bound by and subject to the provisions this Agreement.

Use of the SOLARsec search service (the "Service(s)" or “Applied Parsing LLC Services”) is being licensed to you by Applied Parsing LLC and is provided to you on an "AS IS" “AS AVAILABLE” and “WITH ALL FAULTS” basis subject to the terms and conditions of this Terms of Use Agreement (the "Agreement" or the “Terms of Use”). Please read this Agreement in full before using the Service.

The use license transferred to the user is non-exclusive and non-transferable.

Any reference made in this Agreement to "Applied Parsing LLC" shall be deemed to have been made to Applied Parsing LLC, its subsidiaries, successors, assignees, and affiliates, as well as any company that controls Applied Parsing LLC, directly or indirectly, and any other subsidiary of that controlling company.

Any reference to “You” or the “User” shall mean the user or viewer of any of the content of the website or user or viewer of the Services. If the user is a business, or if the user is a natural person using the Services for a business purpose, the business that the user represents shall be referred to, and bound as the “User.”

DISCLAIMER OF WARRANTIES

The APPLIED PARSING LLC SERVICES AND THE INFORMATION PROVIDED IN THE APPLIED PARSING LLC WEBSITE AND DATABASES IS PROVIDED ON AN "AS IS, AS AVAILABLE" AND “WITH ALL FAULTS” BASIS. APPLIED PARSING LLC MAKES NO AND HEREBY SPECIFICALLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THOSE OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.

APPLIED PARSING LLC DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE USE, AVAILABILITY, RELIABILITY OR THE RESULTS OF THE USE OF THE SEARCH SERVICES, OR THE INFORMATION PROVIDED IN THE APPLIED PARSING LLC WEBSITE AND DATABASES IN TERMS OF THE ACCURACY, RELIABILITY, QUALITY, VALIDITY, STABILITY, COMPLETENESS, CURRENTNESS, OR OTHERWISE OF THEIR CONTENTS, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION. THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE APPLIED PARSING LLC SERVICES AND ACCESS TO THE APPLIED PARSING LLC DATBASES OR WEBSITE AND CONTENT, IS ASSUMED BY YOU/USER.

TO AMPLIFY THE ABOVE AND IN NO WAY TO LIMIT THE ABOVE, APPLIED PARSING LLC MAKES THE FOLLOWING DISCLAIMERS OF WARRANTIES:

THE SERVICES ARE NOT WARRANTED TO NOR DO THEY CONTAIN THE ENTIRE SEC EDGAR DATABASE.
APPLIED PARSING LLC DOES NOT WARRANT THE CONTENTS OF THE FILINGS AS FIT FOR ANY PURPOSE INCLUDING, WITHOUT LIMITATION, LEGAL VALIDITY IN ANY JURISDICTION.
APPLIED PARSING LLC DOES NOT WARRANT THAT THE CONTENTS OF THE SERVICE ACCURATELY REFLECT THE CONTENTS OF THE SEC EDGAR DATABASE AND DOES NOT WARRANT THAT ANY INFORMATION IS FREE FROM TECHNICAL ERRORS OR ANY OTHER DEFECTS OF ANY KIND OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED.
APPLIED PARSING LLC DOES NOT WARRANT THAT CATEGORIZATIONS OR DOCUMENT SPECIFICATIONS CONTAINED IN THE SERVICE OR SEARCHES ARE ACCURATE OR RELIABLE INDICATORS OF ACTUAL DOCUMENT CONTENT.

LIMITED LIABILITY AND RISK OF USE

THE RISK OF USE OF THE SERVICES INCLUDING, WITHOUT LIMITATION TO, THE RISK AS TO QUALITY, PERFORMANCE AND ACCURACY OF THE APPLIED PARSING LLC SERVICES AND SEARCHES PERFORMED THEREON AS WELL AS THE ACCURACY, CORRECTNESS, AND COMPLETENESS OF INFORMATION RETRIEVED SHALL LIE EXCLUSIVELY WITH THE USER.

IN NO EVENT SHALL APPLIED PARSING LLC BE LIABLE TO ANY PARTY (i) FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE), OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE APPLIED PARSING LLC SERVICES, CONTENT OR ANY OTHER 'INFORMATION', EVEN IF APPLIED PARSING LLC SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE; (ii) FOR ANY CLAIM ATTRIBUTABLE TO DELAYS, ERRORS, OMISSIONS, OR OTHER INACCURACIES IN, OR DESTRUCTIVE PROPERTIES OF ANY INFORMATION; (iii) FOR THE TRANSMISSION OR DELIVERY OF ALL OR ANY PART OF ANY INFORMATION, FOR ANY DAMAGE ARISING THEREFROM OR OCCASIONED THEREBY, OR FOR THE RESULTS OBTAINED FROM THE USE OF THE INFORMATION. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, Applied Parsing LLC 'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL APPLIED PARSING LLC’S LIABILITY WITH RESPECT TO THIS AGREEMENT EXCEED THE MONTHLY SUBSCRIPTION FEE PAID BY THE USER TO APPLIED PARSING LLC FOR THE SERVICE.

Not Legal Advice

The documents and information retrieved via the Service are public documents filed with the United States Securities and Exchange Commission. The Service shall be deemed as enhanced access to these documents and shall not constitute nor be construed as legal advice nor the creation of an attorney-client relationship. Applied Parsing LLC makes not guarantee and expressly disclaims any warranty or guarantee of any kind including, but not limited to, merchantability, completeness or accurateness of the material or searches performed via the Service, fitness or adequacy for any purpose especially legal adequacy in any jurisdiction. Use of the information retrieved through the Service shall be entirely at the risk of the User. This provision shall not be construed to limit the Disclaimer of Warranties and Limited Liability and Risk of Use provisions above.

Your (User) Representations

You represent and warrant that you have the adequate legal capacity to enter into this Agreement on your personal behalf, if use is personal, or on your company’s behalf, if use is related to a trade or business. You further represent and warrant that you will use the Service only for lawful purposes and in accordance with this Agreement, and that you will not use the Service to violate any law, regulation or ordinance or any right of Applied Parsing LLC or any third party, including, without limitation, any right of copyright, patent, trademark, or other intellectual property. You also represent that you are not a competitor of Applied Parsing LLC.

You agree to:

use the Service only for lawful and appropriate uses which are not in violation of any law, regulation or ordinance or any right of Applied Parsing LLC or any third party, including, without limitation, any contract right (including this Agreement), any right of copyright, patent, trademark, or other intellectual property.
be solely liable for and indemnify Applied Parsing LLC, its officers, agents, employees and directors for any damages incurred to them as a result of your violation of these Terms of Use or of the Agreement as a whole.
(if subscribing) pay the designated subscription price as specified when registering for the Service.

You agree NOT to:

create or use any software other than the Service provided by Applied Parsing LLC to enter any information or to access the Applied Parsing LLC Services, without the express written authorization of Applied Parsing LLC;
reengineer, reverse engineer, decompile, disassemble, alter, duplicate, make copies, view software/source code from, create derivative works from, distribute or provide others with the Service or any information or other content available on, derived or extracted from the Applied Parsing LLC Services, or any part thereof;
use the Applied Parsing LLC Services, for any purpose that would be inappropriate to use of the SEC EDGAR database itself;
download in bulk or systematically retrieve all or particular portions of the SOLARsec databased material;
save or otherwise store documents containing Applied Parsing LLC proprietary markup (any document retrieved in anything but plain text), any content from the Services or function code.

Proprietary Rights

Applied Parsing LLC owns all intellectual and other property in the Applied Parsing LLC Services, site content and the proprietary Applied Parsing LLC databases, including but not limited to Applied Parsing LLC components and algorithms, web pages and interface, operative script code, database information, document content and informational markup which is not a part of the original SEC EDGAR filings. No such property right is transferred in any way to the User.

SOLARsec, the SOLARsec and SOLAR POWERED logo, and/or other Applied Parsing LLC products referenced herein are trademarks and/or servicemarks of Applied Parsing LLC. Other products and companies' names or marks may be the trademarks or servicemarks of their respective owners. No license is granted to the User, either expressly or implicitly, to use any trademark, servicemark, names, or logos of Applied Parsing LLC or any other company.

Termination/Services Renewal

Access Plans to the Services will automatically renew upon expiration of the term unless cancelled. Upon renewal, you will be billed for the new access period. Cancellation may be affected by writing an email to customer_service@solarsec.com making reference to the email/user id of the subscriber or in any other way specifically provided in the website. Cancellation may be made up to 24 hours prior to expiration.

Applied Parsing LLC may at any time terminate your Applied Parsing LLC access to the Applied Parsing LLC Services for any reason, including, without limitation, if it, in its sole discretion, considers your use to be unacceptable, or in the event of any breach by you of this Agreement. Applied Parsing LLC has no obligation to provide you a warning prior to termination of your use of the Applied Parsing LLC Services.

Applied Parsing LLC collects personally identifiable information when you register for the SOLARsec service. All of this information resides in a Registered Users Database which enables Applied Parsing LLC to provide its services. Credit card information is collected when users pay for access to the Service. Credit card information is collected in a secure (128 bit SSL encrypted) transmission. The credit card information is passed to Authorize.net, Applied Parsing LLC's credit card processing gateway, for authorization and capture. No credit card information is retained on Applied Parsing LLC servers. Recurrent billing is performed by Authorize.net.

Applied Parsing LLC is the sole owner of all personally identifiable information collected from the registration process. Applied Parsing LLC does not sell or disclose this information to third party advertisers. It does not disclose this information to any third parties for any reason except as compelled by law.

Applied Parsing LLC uses the email addresses of its subscribers as their usernames and may use the email address in order to contact the subscriber regarding matters pertaining to the service and its usage. Applied Parsing LLC will cancel subscriptions of users identified by invalid email addresses.

Applied Parsing LLC may use cookies for the purpose of Service functionality and to record user settings and preferences.

Applied Parsing LLC automatically receives and records information on our server logs from your browser including your IP address, cookie information, search queries made, and the pages requested. Applied Parsing LLC uses the information it collects to improve the Service and better serve your needs and interests.

This policy may be amended from time to time.

Rights and Remedies

You agree that this Agreement is not intended to confer and does not confer any rights or remedies upon any person other than the parties to this Agreement.

You acknowledge that the Applied Parsing LLC Services contain Applied Parsing LLC proprietary and confidential information, and that disclosure of such information or misuse of the Applied Parsing LLC Services will give rise to irreparable injury to Applied Parsing LLC, inadequately compensable in damages. Accordingly, Applied Parsing LLC may seek and obtain injunctive relief against such disclosure or misuse or threatened such disclosure or misuse, in addition to any other legal remedies that may be available.

Electronic Notices

By using any of the Applied Parsing LLC Services, you consent to receive legally required communications, including notices, agreements, disclosures or other information in connection with any of the Applied Parsing LLC Services from Applied Parsing LLC via posting to this web page (collectively, "Notices").

The delivery of any Notice from Applied Parsing LLC is effective when posted to this page.

Survival, Severability, Modification and Integration

The provisions of this Agreement addressing restrictions on use, disclaimers of representations and warranties, indemnity obligations, intellectual property, and governing law shall survive the termination of this Agreement and your use of the Applied Parsing LLC Services. If any provision of this Terms of Use agreement shall be determined to be unlawful, void, or for any reason unenforceable, the provision shall be construed as would be legally enforceable while giving effect to the intent of the provision and this Agreement as closely as is possible and the remainder of the agreement shall be enforceable and valid. This is the entire agreement between the parties relating to the matters contained herein. This agreement may be modified by Applied Parsing LLC in its sole discretion without notice. Continued use of the Services by the User following such modification shall be deemed consent to the changes and acceptance of the then current Terms of Use Agreement.

Choice of Law and Forum

This Agreement and the Terms of Service shall be governed by and construed in accordance with the laws of New York, without regard to its conflicts-of-law rules, and treated as if all obligations under this Agreement have been performed in New York. You expressly agree that exclusive jurisdiction for any claim or dispute with Applied Parsing LLC or relating in any way to your use of the Applied Parsing LLC Services resides in the courts of New York and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of New York in connection with any such dispute including any claim involving Applied Parsing LLC or its affiliates, subsidiaries, employees, contractors, officers, directors, and telecommunication providers.

Export Control

You agree to abide by U.S. and other applicable export control laws and not to export, re-export or otherwise transfer, by electronic transmission or otherwise, any content subject to restrictions under such laws to a national destination prohibited under such laws or to any person to whom exports, re-exports or transfers are prohibited under such laws, without first obtaining, and then complying with, the requisite government authorization.
