What About EDGAR?
By law, all companies wishing to publicly trade some of their securities in the United States must file certain information with the Securities and Exchange Commission. This is a very expansive group of filers which include not only the few hundred companies in well tracked market indices, nor even the few thousand stock exchange traded companies, but indeed those and the many more thousands of commercial and investment companies that wish to have some of their shares offered to the public. Since the mid-nineties, all U.S. companies have been required to satisfy their information disclosure requirements electronically on the S.E.C.'s EDGAR® database. Non-U.S. companies, too, are now generally required to file on EDGAR. EDGAR® is a registered trademark of the US Securities and Exchange Commission.
Filing requirements arise on both periodic and event-specific bases. The periodic filing requirements include annual and quarterly reports. The event-specific filing requirements include registration of securities, communication with shareholders, and other important events. The specific information to be disclosed depends on which basis has arisen and will call for disclosure on a specific structured filing form. Further, the company must provide pertinent operative documents. In general, these include all material contracts of the company (often including license and intellectual property agreements, credit and loan agreements, real estate documents and lease agreements), forms of agreements, organizational documents (by-laws, corporate charters, LLC and partnership operating agreements etc.), underwriting agreements, merger and acquisition agreements (merger, stock purchase, asset purchase agreements), any instruments (agreements) affecting the rights of the security holders (voting trust agreements, shareholder agreements, registration rights agreements), legal opinions, financial information, and various other corporate, legal, and financial information.
